DEFINITIONS
“Client” refers to the party engaging the services of the Sub-Contractor for manned security.
“Sub-Contractor” refers to the party providing manned security services with their own insurance coverage.
“Services” refers to the manned security services provided by the Sub-Contractor to the Client.
SCOPE OF SERVICES
The Sub-Contractor agrees to provide manned security services to the Client in accordance with the terms and conditions outlined in this agreement and any attached specifications or schedules.
The Sub-Contractor shall ensure that all security personnel engaged in the provision of services hold valid Security Industry Authority (SIA) licenses and comply with relevant industry standards.
INSURANCE
The Sub-Contractor shall maintain comprehensive insurance coverage, including public liability insurance, employer’s liability insurance, and any other insurance required by law. The Client shall be provided with proof of insurance upon request.
COMPLIANCE WITH LAWS
The Sub-Contractor shall comply with all applicable laws and regulations, including but not limited to those related to licensing, health and safety, and employment.
PAYMENT TERMS
The Client agrees to pay the Sub-Contractor the agreed-upon fees for manned security services as outlined in the contract.
Invoices for the services will be submitted by the Sub-Contractor on a [monthly/quarterly] basis, and payment is due within [number of days] days from the date of the invoice.
Late payments will be subject to interest charges at the rate of [X]% per annum, accruing from the due date until the date of payment.
LIABILITY
The Sub-Contractor assumes liability for any damage or injury caused by their personnel while providing manned security services. The Sub-Contractor’s insurance shall cover such liabilities.
TERMINATION
Either party may terminate this agreement with written notice in the event of a material breach by the other party, provided that the breaching party has failed to cure the breach within [number of days] days.
GOVERNING LAW
This agreement shall be governed by and construed in accordance with the laws of England and Wales.
DISPUTE RESOLUTION
Any disputes arising out of or in connection with this agreement shall be resolved through negotiation. If not resolved within [number of days] days, the dispute shall be submitted to arbitration in accordance with the laws of England and Wales.
