Sale of Goods Terms and Conditions (Bespoke Goods) (B2C)

DEFINITIONS

“Seller” refers to the party selling bespoke goods.

“Buyer” refers to the consumer purchasing bespoke goods.

“Bespoke Goods” refers to goods custom-made or personalized according to the Buyer’s specifications.

ORDERS AND ACCEPTANCE

All orders are subject to acceptance by the Seller. The Seller reserves the right to refuse any order.

Acceptance of an order by the Seller creates a legally binding contract between the Buyer and the Seller.

BESPOKE GOODS SPECIFICATIONS

The Buyer is responsible for providing accurate and detailed specifications for bespoke goods.

The Seller will use reasonable efforts to fulfill bespoke goods in accordance with the agreed specifications.

PRICING AND PAYMENT

Prices for bespoke goods are as agreed upon in the contract or, in the absence of a written agreement, as quoted by the Seller.

Payment terms are [insert payment terms, e.g., a percentage upfront with the order and the balance upon completion]. Late payments may incur interest charges in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.

DELIVERY AND ACCEPTANCE

The Seller will provide an estimated delivery date for bespoke goods. Delays may occur due to the unique nature of bespoke production.

The Buyer must inspect the bespoke goods upon delivery and notify the Seller of any defects or non-conformities within a reasonable time.

CANCELLATION AND RETURNS

Due to the personalized nature of bespoke goods, cancellations are not permitted once production has commenced.

The Seller will rectify any defects or non-conformities in bespoke goods within a reasonable time after notification by the Buyer.

LIABILITY

The Seller’s liability for any breach of contract, negligence, or other tort is limited to the value of the bespoke goods provided.

INTELLECTUAL PROPERTY

Any intellectual property associated with bespoke goods remains the property of the Seller unless otherwise agreed in writing.

GOVERNING LAW AND JURISDICTION

This agreement shall be governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
