Interpretation
In these Terms and Conditions
“Buyer” means THP Shop, a company registered in England and Wales, with registered office at 16 Cresent Road, Worthing, BN111RL, United Kingdom, and includes its successors and assigns.
“Seller” means the entity selling goods or services to the Buyer, as identified in the relevant purchase order or agreement.
“Goods” means the products or items to be supplied by the Seller to the Buyer, as specified in the relevant purchase order or agreement.
Application
These Terms and Conditions shall apply to all Contracts for the purchase of Goods by the Buyer from the Seller, to the exclusion of all other terms and conditions, including any terms or conditions which the Seller may purport to apply.
No variation or amendment to these Terms and Conditions shall be effective unless agreed upon in writing and signed by both parties.
Orders and Specifications
All purchase orders shall be deemed to be an offer by the Buyer to purchase Goods pursuant to these Terms and Conditions.
The Seller shall ensure that the Goods comply with the specifications provided by the Buyer and any applicable statutory or regulatory requirements.
Price and Payment
The price for the Goods shall be as stated in the relevant purchase order or as otherwise agreed in writing between the parties.
Payment shall be made by the Buyer within [number] days from the date of the Seller’s invoice, unless otherwise agreed in writing.
Delivery
Delivery of the Goods shall be made to the delivery address specified in the purchase order.
The Seller shall ensure that the Goods are properly packed and secured to prevent damage during transportation.
Inspection and Acceptance
The Buyer shall have the right to inspect the Goods upon delivery, and any defects or discrepancies shall be notified to the Seller within [number] days.
Acceptance of the Goods by the Buyer does not relieve the Seller of its obligations under the Contract.
Title and Risk
Title to the Goods shall pass to the Buyer upon delivery.
Risk in the Goods shall pass to the Buyer upon delivery.
Warranties and Remedies
The Seller warrants that the Goods shall be of satisfactory quality, fit for purpose, and free from defects.
In the event of breach of warranty, the Buyer may request the replacement of the Goods, a refund, or seek other remedies available under the law.
Indemnity
The Seller shall indemnify the Buyer against all claims, liabilities, costs, and expenses incurred by the Buyer as a result of any defect in the Goods or any breach of the Contract by the Seller.
Governing Law and Jurisdiction
These Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales.
Any disputes arising out of or in connection with the Contract shall be subject to the exclusive jurisdiction of the courts of England and Wales.
General
No waiver by the Buyer of any breach of these Terms and Conditions by the Seller shall be considered as a waiver of any subsequent breach of the same or any other provision.
These Terms and Conditions constitute the entire agreement between the parties and supersede all prior agreements, understandings, and representations, whether oral or written.
